1. Acceptance of These Terms

These Terms of Use (“Terms”) govern your access to and use of antercapital.com and related pages operated by Anter Capital LLC (“Anter Capital,” “we,” “us,” or “our”) that link to these Terms (collectively, the “Site”). By accessing or using the Site, you acknowledge these Terms. If you do not agree, do not use the Site.

If you are an Anter Capital client and these Terms conflict with an executed investment advisory agreement or another written agreement between you and Anter Capital, the executed agreement will control to the extent of the conflict, subject to applicable law.

2. Informational Purposes Only

The Site is provided for general informational and educational purposes only. It does not constitute investment, legal, tax, accounting, insurance, or other professional advice. Information on the Site is not intended to address the objectives, financial circumstances, or needs of any particular person.

You should consult appropriately qualified professionals regarding your individual circumstances. Anter Capital does not provide legal, tax, or accounting advice.

3. Regulatory Status and Important Disclosure

Anter Capital LLC (“Anter Capital” or the “Adviser”) is a registered investment adviser located in the State of Florida (CRD #341049). Registration as an investment adviser does not imply a certain level of skill or training.

4. No Advisory Relationship

Accessing the Site, submitting an inquiry, sending an email, or receiving a response does not create an investment advisory, fiduciary, client, or other professional relationship with Anter Capital. Personalized investment advice is provided only after the parties execute an investment advisory agreement, Anter Capital delivers the applicable disclosure documents, and the relationship is accepted in accordance with the firm’s procedures.

Do not submit trade instructions, account credentials, account numbers, Social Security numbers, passwords, or other sensitive information through the Site.

5. No Offer, Solicitation, or Recommendation

Nothing on the Site is an offer to sell, a solicitation of an offer to buy, or a recommendation concerning any security, investment product, investment strategy, advisory service, or account. The Site is not directed to any person in a jurisdiction where publication or availability would be contrary to applicable law or would subject Anter Capital to a registration or licensing requirement that has not been satisfied or is not otherwise exempt.

Descriptions of services, strategies, instruments, or research processes are general and may not be suitable or available for every investor or account.

6. Investment Risk Disclosures

Investing involves risk, including possible loss of principal. No investment strategy or risk-management technique can guarantee a profit or prevent loss. In particular:

• Diversification, asset allocation, hedging, and cash positions do not guarantee a profit or protect against loss.
• Options involve material risk and leverage, can lose value rapidly, and are not suitable for all investors. Depending on the strategy and position, losses may include the full premium paid and, in some circumstances, may exceed the initial amount invested or received.

Prospective and current clients should review those documents carefully. The Site does not replace those disclosures.

9. Intellectual Property

Unless otherwise indicated, the Site’s text, design, graphics, logos, trademarks, service marks, images, software, arrangement, and other content are owned by or licensed to Anter Capital and are protected by applicable intellectual-property laws. Third-party names, marks, and content remain the property of their respective owners.

Anter Capital grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful, personal, and informational purposes. No other rights are granted by implication or otherwise.

10. Prohibited Uses

You may not:

• Use the Site in violation of law or the rights of another person;
• Misrepresent your identity or submit false, misleading, malicious, or unlawful information;
• Attempt to gain unauthorized access to the Site, its servers, accounts, or related systems;
• Introduce malware, interfere with operation, bypass security controls, scrape the Site in a manner that burdens its systems, or conduct automated testing without authorization;

The Site may link to websites or services operated by regulators, custodians, vendors, or other third parties. Links are provided for convenience and do not necessarily constitute endorsement. Anter Capital does not control and is not responsible for third-party content, availability, security, terms, privacy practices, or services. Your use of a third-party website is governed by that party’s terms and policies.

12. Privacy

Information collected through the Site is addressed in the Privacy Policy, which is incorporated into these Terms by reference. Do not use the Site to transmit information that you are not authorized to provide.

13. No Warranty

To the fullest extent permitted by applicable law, the Site and its content are provided on an “as is” and “as available” basis. Anter Capital disclaims warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, title, non-infringement, availability, and freedom from harmful code.

Anter Capital does not warrant that the Site will be uninterrupted, error-free, secure, or compatible with every device or system.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Anter Capital and its owners, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, or similar losses arising from or relating to the Site, Site content, or third-party links, even if advised of the possibility of such damages.

Nothing in these Terms is intended to waive or limit any right or remedy that cannot lawfully be waived or limited, including rights under applicable federal or state securities laws. This section must be reviewed by legal counsel before publication.

15. Governing Law and Jurisdiction

Subject to legal review and except to the extent preempted by federal law or superseded by a written agreement, these Terms are intended to be governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to applicable law and any controlling agreement, disputes relating solely to use of the Site are intended to be brought in an appropriate state or federal court located in Miami-Dade County, Florida.

This provision does not alter any arbitration, forum, governing-law, or dispute-resolution provision contained in an executed client agreement and does not waive non-waivable rights.

16. Changes, Severability, and Waiver

Anter Capital may revise these Terms by posting an updated version on the Site. The “Last updated” date identifies the most recent revision. Continued use of the Site after an update constitutes use under the revised Terms.

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of that provision or any other right.
